Dealer Privacy Notice

This Vehicle Purchase, Financing, and Authorization Agreement (“Agreement”) is entered into by and between USA Direct Auto, a licensed motor vehicle dealer (“Dealership”), and the undersigned customer (“Customer”). By signing below or electronically consenting, the Customer agrees to the following terms and conditions.
The Customer acknowledges that any payment made to USA Direct Auto, whether described as a deposit, earnest money, down payment, or advance payment, is considered a Deposit/Down Payment. This payment is made to secure the purchase, financing, or reservation of a specific vehicle. The identified vehicle (“Vehicle”) shall be the one described in the corresponding purchase order, retail installment contract, or related financing documents.
The Customer understands and agrees that any Deposit/Down Payment made to USA Direct Auto is non-refundable, except as otherwise expressly stated in this Agreement. The non-refundable nature of the payment applies when the Customer chooses not to proceed with the purchase for any reason not caused by the Dealership, fails to obtain financing, or cancels the transaction after submitting the deposit. The Deposit/Down Payment serves as consideration for reserving the Vehicle, removing it from the market, covering administrative and credit processing costs, preparing financing, arranging delivery, and compensating the Dealership for lost opportunities during the hold period. This payment demonstrates the Customer’s commitment to proceed in good faith toward the purchase of the Vehicle.
Upon receipt of the Deposit/Down Payment, the Dealership may hold or reserve the identified Vehicle for the Customer for a reasonable period or until completion of the transaction. If the Customer fails to finalize the purchase within that time, the Dealership may, at its discretion, retain the Deposit/Down Payment in accordance with this Agreement.
The Customer understands that exceptions for refund may apply only if USA Direct Auto fails to deliver the exact Vehicle specified in writing, commits a material breach of its obligations, or fails to meet any written contingency agreed upon in advance. These situations may entitle the Customer to a refund as required by applicable Texas or federal consumer protection laws.
The Customer further acknowledges that there is no automatic “three-day right to cancel” or “cooling-off period” for vehicle purchases made at a dealership. Once the contract is signed and the Vehicle delivered, the sale is final unless otherwise provided by law.
By signing below, the Customer authorizes USA Direct Auto, its agents, or lenders to obtain consumer credit reports, verify employment and income, contact employers or financial institutions, and confirm any information provided in the credit application or purchase documentation. The Customer consents to both soft and hard credit inquiries as needed for financing or prequalification purposes. The Customer also authorizes the Dealership to communicate via phone, text, email, and other electronic means for the purpose of completing financing, verifying information, and providing updates related to the purchase or services rendered. Standard message and data rates may apply.
The Customer affirms that all information provided is true and accurate, and acknowledges that any falsification may result in denial of financing or termination of the transaction. The Customer understands and accepts that USA Direct Auto reserves the right to cancel or rescind approval if false or misleading information is discovered after the fact.
This Agreement represents the entire understanding between the Customer and USA Direct Auto with respect to the Vehicle, Deposit/Down Payment, and related financing matters. It supersedes all prior oral or written statements regarding these topics. Any modification to this Agreement must be made in writing and signed by both parties to be valid.
This Agreement shall be governed by and construed under the laws of the State of Texas. Venue for any dispute arising from this Agreement shall be proper in any county where USA Direct Auto maintains a business location or where the transaction occurred.
The Customer acknowledges that they have read and fully understand this Agreement, have been given the opportunity to seek independent legal or financial advice, and are entering this Agreement voluntarily and without coercion.
By signing below, the Customer affirms their acceptance of all terms and authorizes USA Direct Auto to proceed with the credit review, vehicle reservation, and purchase process.
